CODITT TERMS AND CONDITIONS

These terms and conditions apply to any document or agreement (the “Terms”) made by and between Coditt ("Us" or "Our" or "We" or "Coditt"), and its users (“Users” or “You”).

By using our services, registering on our Platform, or contributing content to us by any channel (Platform, social media, etc.) You agree to these Terms and Conditions.

If you are acting on behalf of a company or any other legal entity, your hereby represent that you have the authority to bind such entity into these terms. In this case the terms "You" and its derivatives shall refer to the entity. If you do not have the authority to bind the entity into these terms, please do not use our services, do not register on our Platform, and do not contribute content to us.

These Terms govern Your use of all the text, data, information, software, graphics, photographs and more (all of which We refer to as “Materials”) that We and Our affiliates may make available to You through any of Our Platforms (all of Our Websites, social media channels and affiliated pages are referred to in these Terms collectively as this “Platform”) and Your use of the services provided to You by Coditt (collectively, the “Services”).

CHANGES

We may alter the Materials and Services We offer You and/or choose to modify, suspend, or discontinue this Platform at any time upon prior written notice to You.

GENERAL USE

In these Terms we are granting You a limited, personal, non-exclusive, and non-transferable license to use the Services; Your right to use the Services is conditioned on Your compliance with these Terms.  You have no other rights in this Platform or the Services and You may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of this Platform or Materials in any manner. If You breach any of these Terms the above license will terminate automatically. 

ACCOUNTS

To create an account with Us (Your “Account”), You must register through the Platform.  Once You submit the required registration information, we alone will determine whether to approve Your proposed account. For so long as You use the account, you agree to provide true, accurate, current, and complete information. We reserve the right to suspend or terminate your account at any time if any information you provided is inaccurate, not current, or incomplete. It is Your responsibility to maintain the confidentiality of Your password(s), including any password of a third-party site that We may allow You to use to access this Platform.  Should You believe Your password or security for This Platform has been breached in any way, you must immediately notify Us.

PRIVACY

Any information submitted on Coditt is subject to our Privacy Policy. When using Coditt, users may share personal and/or business information. By using these services, you agree to allow Coditt to share this information with Providers.

By using these services, you agree to allow Coditt and the Providers listed on Coditt to contact you by any reasonable means of communications.

Coditt reserves the right to refuse, at its sole discretion, to provide all or some of the services to any user, temporarily or permanently.

COOKIES

We employ the use of cookies. By accessing Coditt, you agreed to use cookies in agreement with Coditt's Privacy Policy, and Coditt’s Cookie Policy.

Most interactive websites use cookies to let us retrieve the user's details for each visit. Cookies are used by our website to enable the functionality of certain areas to make it easier for people visiting our website. Some of our affiliate/advertising partners may also use cookies.

USER GENERATED CONTENT

The services provide you with an opportunity to post, publish, upload and exchange opinions, reviews, comments and information (hitherto: "User Generated Content", "UGC") in certain areas of the website, it's affiliated pages, and social media channels.

You acknowledge and agree that you are entirely and solely responsible for all the UGC that you submit. You warrant and represent that:

  • You are entitled to submit the UGC on our Platform and have all necessary licenses and consents to do so.
  • The UCG does not violate any intellectual property right, including without limitation copyright, patent, or trademark of any third party.
  • The UCG does not contain any defamatory, libelous, offensive, indecent, or otherwise unlawful material which is an invasion of privacy.
  • The UGC will not be used to solicit or promote business or custom or present commercial activities or unlawful activity.
  • You assume all risk for any UGC you submit, including but not limited to, anyone's reliance upon this UGC. You may expose yourself to liability if you submit UGC that is false, libelous, misleading, defamatory, or otherwise violets any third part's right or restriction, or is unlawful in anyway.
  • You agree and warrant that you will indemnify and hold harmless Coditt all claims related to UGC that you submit.
  • You agree that Coditt reserves the right, but is not obliged to, edit, change, move or delete any UGC that is submitted to it, for any reason or no reason, at its sole discretion.
  • You hereby grant Coditt a non-exclusive license to use, reproduce, edit, and authorize others to use, reproduce and edit any of your UGC in all forms, formats or media.

UGC published on Coditt do not reflect the views and opinions of Coditt and/or affiliates. UGC reflects the views and opinions of whoever posted it. To the extent permitted by applicable laws, Coditt shall not be liable for the Comments or for any liability, damages or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the UGC on this Platform.

ACCURACY OF UGC

Coditt is not responsible for the UGC that is posted on the platform, and does not verify its validity, authenticity and/or correctness.  UGC published on Coditt do not reflect the views and opinions of Coditt. Coditt does not endorse or recommend any of the companies, products, services, or any other information that appears on the platform.

UGC reflects the views and opinions of the third parties that submitted it, and it may be inaccurate, misleading, or false. Coditt makes no assurances regarding the reliability, correctness, validity, or authenticity of the UGC.

You acknowledge and agree to assume all risks related with your use of or reliance of UGC on the platform. You also acknowledge that you may be exposed to UGC that you may find offensive.

LICENSE TO UGC

In agreeing to these terms you grant us an unlimited, perpetual, irrevocable, worldwide, non-exclusive, sub-licensable, transferable, royalty-free, license to use the UGC you submitted for any purpose, including to publish, distribute, copy, reproduce, modify edit, adapt, translate, and create derivative work from such UGC, in any format, on any medium and on any channel, known now or created in the future, without further consent, notice and/or compensation to you or any third party. Coditt may display the UGC you submitted adjacent to or included with advertising, and you are not entitled to any compensation or notice related to from such action.

FEEDBACK

Any submissions by You to Us (e.g., comments, questions, suggestions, materials – collectively, “Feedback”) through any communication whatsoever (e.g., call, fax, email) will be treated as both non-confidential and non-proprietary.  You hereby assign all right, title, and interest in, and We are free to use, without any attribution or compensation to You, any ideas, know-how, concepts, techniques, or other intellectual property and proprietary rights contained in the Feedback, whether or not patentable, for any purpose whatsoever, including but not limited to, developing, manufacturing, having manufactured, licensing, marketing, and selling, directly or indirectly, products and services using such Feedback.  You understand and agree that We are not obligated to use, display, reproduce, or distribute any such ideas, know-how, concepts, or techniques contained in the Feedback, and You have no right to compel such use, display, reproduction, or distribution.

INTELLECTUAL RIGHTS

As per the relationship between you and Coditt, you own the UGC that you submit. Unless otherwise specified in these Terms Coditt owns all content other than UGC, including all graphics, text, feature, website layout, design code, reviews, comments, object arrangement, and any other component of the platform.  All rights not expressly granted herein are reserved.  Except as otherwise required or limited by applicable law, any reproduction, distribution, modification, retransmission, or publication of any copyrighted material is strictly prohibited without the express written consent of the copyright owner or license.

Other trademarks, names and logos on this Website are the property of their respective owners.

COPYRIGHT

Coditt will respond to claims of copyright infringement that are properly submitted according to applicable law to: [email protected].

A request to remove content due to claimed copyright infringement should provide, in accordance with the Digital Millennium Copyright Act, the following information:

  • A physical or electronic signature of the copyright owner or a representative authorized to act on his behalf.
  • Identification of the copyright work which the infringement claim refers to.
  • Identification of the allegedly infringing content or activity and its location.
  • Contact info including telephone number and email address.
  • A signed statement that copyright owners believe, in good faith, that their rights were infringed upon, that the information provided in the request is accurate, and in case of submission by representative, that he is authorized to act on behalf of copyright owners.

Coditt reserves the right to remove, at its sole discretion and without prior notice, any UGC that is claimed to infringe copyright or is otherwise unauthorized, and to suspend or permanently ban offenders. Requests to remove content shall be sent to the alleged offender. A link to the request may be published in place of removed content.

PROHIBITED ACTIVITIES

You agree to refrain from doing, directly or indirectly, the following activities:

  • Submit to Coditt or post as UGC any content that is:
    • Libelous, abusive, discriminatory, obscene, harmful, threating, or unlawful, and any information that you do not have the legal, contractual, or fiduciary rights to disclose.
    • Infringes on copyright, trademarks, patents, privacy rights, or any other intellectual property rights that limit the sharing of it.
    • Includes spam, or any unsolicited or unauthorized advertising.
  • Duplicate, license, sublicense, publish, distribute, sell, rebrand, modify, or use in any other unauthorized way, any information obtained from Coditt, except for your own UGC.
  • Mirror, frame, or otherwise simulate Coditt's appearance, features or content.
  • Use manual methods or automated software such as "script bots", "crawlers", "spiders", etc. to download, collect, mine, process, access or index any information on Coditt, or to decompile, reverse engineer, decipher or otherwise try to obtain Coditt's source code.
  • Receive or provide any payment or compensation in relation to writing, submission and/or removal of UGC. Submit reviews on services for which you have conflict of interest such as services provided by you, your employer, your direct competitor, etc.
  • Sign up to Coditt with a fake identity

YOUR RISK IN USING THE SERVICES

Coditt is a platform for service providers ("Providers") to display their skills, project portfolio and reviews, and for users seeking service providers ("Clients") to browse between different providers in search for a suitable one for their needs.

Coditt is never a side to any relationship between a provider and a client.

Coditt does not assume responsibility for any engagements between users that you and any party that you have encountered on our platform, is at your own risk.

Coditt is not a party or participant in any engagements and/or transactions between providers and Clients. Any engagement and/or transaction between you and any other party found on Coditt, is at your own risk. Coditt recommends that Provides and Clients conduct due diligence before entering into agreements with counter parties and conduct transactions via well-defined legal contracts.

Coditt invests considerable efforts to provide accurate information on the platform, but errors may appear due to UGC, or for any other reason. Coditt is not responsible for such errors, and Clients should confirm any info and/or independently evaluate Providers before entering into transactions.

Coditt does not guarantee the quality and/or integrity of the Providers and/or Clients found on the platform. Coditt will not be liable for any issues arising between users on the platform, as their relationship is that of a contract between third parties of which Coditt is not a party of and has no role in. Coditt does not and will not assume any liabilities, indemnifications, warranties, or any other obligations. By using these services, Providers and Clients agree that Coditt will bear no responsibility for any issue related to the use of the services.

DISCLAIMER OF WARRANTIES

THIS PLATFORM IS PROVIDED "AS IS" AND "WITH ALL FAULTS" AND THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THIS PLATFORM IS WITH YOU. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND (EXPRESS, IMPLIED OR STATUTORY) WITH RESPECT TO THIS PLATFORM, WHICH INCLUDES BUT IS NOT LIMITED TO, ANY IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS.  THIS MEANS THAT WE DO NOT PROMISE YOU THAT THE PLATFORM IS FREE OF PROBLEMS.

Without limiting the generality of the foregoing, We make no warranty that this Platform will meet Your requirements or that this Platform will be uninterrupted, timely, secure, or error free or that defects in this Platform will be corrected.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODITT BE LIABLE TO YOU OR ANY THIRD PARY FOR ANY INDIRECT, EXTRAORDINARY, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) HOWEVER ARISING, EVEN IF IT IS KNOWN THERE IS A POSSIBILITY OF SUCH DAMAGE.  USE OF, THESE SERVICES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE INCURRED AS A RESULT OF THIS USE. OUR LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, FOR ANY REASON WHATSOEVER AND REGARDLESS THE FORM OF THE ACTION, SHALL NEVER EXCEED THE TOTAL OF THE FEES PAID TO US BY YOU.

INDEMNIFICATION

You agree to indemnify, defend and hold Coditt harmless, from and against any and all third party claims, losses, liabilities, demands and damages of any king arising out of or related in any way to: (i) your failure to comply with these terms, including but not limited to, the information you submitted or (ii) your use of the Service or any other activity conducted by you with relation to Coditt. 

ENTIRE AGREEMENT

This Agreement sets forth the entire agreement of the parties, supersedes all prior agreements between the parties with respect to the subject matter hereof, and may not be altered except in a document signed by the party against whom enforcement is sought.

ASSIGNMENT

This Agreement may not be assigned by either party, except to a subsidiary or affiliate controlled thereby or under common control therewith, or pursuant to a merger, sale or other transfer of all or substantially all of the assets of the business to which this agreement relates, without the prior written consent of the other party, and any assignment without the required consent shall be null and void.

WAIVER

No waiver by either party of any provision of this agreement shall constitute a waiver by such party of any other provision of this agreement. 

JURISDICTION

This Agreement will be governed by the laws of the State of Israel; any action based on or alleging a breach of this agreement must be brought in the state Israel and the parties hereby consent to the exclusive jurisdiction of such courts.

INDEPENDENCE

Nothing contained herein shall in any way be construed to create an agency relationship, joint venture, or partnership between the parties hereto.  Neither party shall be responsible for any obligations of the other, except as specifically provided herein, and neither party shall have the power to bind or obligate the other in any manner whatsoever except as expressly set forth herein.
